
The Registrar of Companies (ROC), Delhi & Haryana, took action against Ecospace Commodities Trade Private Limited for breaching Section 12(1) of the Companies Act, 2013, due to its failure to maintain a registered office capable of receiving official communications.
A show cause notice was issued following a directive from the Regional Director and a prior unserved notice returned with postal remarks indicating the address was not traceable. Despite sending notices through email and speed post, only one director received the communication, and no reply was submitted by the company. This confirmed the company’s failure to comply with the statutory requirement.
Ecospace Commodities Trade Private Limited, classified as a small company, has been levied a reduced penalty due to its non-compliance with maintaining a registered office. The company and its directors, Chandra Devi Biyala, Anil Kumar Bagri, and Jay Prakash Mukhiya, are instructed to pay the penalty within 90 days.
Additionally, the company must establish a functional registered office and submit the required e-form to rectify the default. The order also outlines the procedure for appealing to the Regional Director.
